MBRP has unilaterally adopted this Minimum Advertised Pricing (MAP) policy for all MBRP branded products effective January 1, 2017. This policy replaces the current MBRP Minimum Advertised Price (MAP) policy which will be discontinued effective 11:59 p.m. on December 31, 2016, and applies to all MBRP distributors and dealers.
The purpose of this policy is to prevent advertising of MBRP products focusing on price. MBRP maintains that such advertising undermines the positive market perception that has accrued to the MBRP brand as a premium quality product.
Compliance with this policy is required of all dealers and distributors advertising MBRP products for sale on either a wholesale or retail basis. Use of the MBRP name, trademarks, intellectual property or other marketing information developed or published by MBRP is conditional upon adherence to this policy.
Under this unilaterally adopted MAP policy, any consumer or public advertisement of MBRP branded products must not result in a net price that is below the retail MAP price as published by MBRP. Retail MAP shall be the published Jobber price less 15% or such other retail MAP price established by MBRP with respect to specific products.
Any trade or wholesale advertisement of MBRP branded products, by MBRP distributors or dealers must not result in a net price that is below the published Jobber price less 25% or such other wholesale MAP price established by MBRP with respect to specific products.
Net price is defined as the price less the value of any additional free products, discounts, rebates, reduced tax or other services included with the purchase. Shipping, handling, and installation charges are not applied to any calculation of net price for purposes of this MAP policy. For the purposes of this policy “advertising” means any exposure on a mass or broadcast basis regardless of media and includes marketing pieces that are addressed to specific individuals but are not provided in response to a customer request for a price. Online advertising shall include prices advertised on “shopping cart” pages whether they are incorporated in the dealer site or provided by a third party.
If there is a change in either the Jobber price or the retail MAP price for a particular product, the new price will be enforced under this MAP policy thirty (30) days following such notification. Advertisements, including prices on internet websites, must not indicate a price lower than MAP available at final check-out.
Dealers and distributors are entirely free to set their own selling price for MBRP products. This policy does not determine, control, or influence the price at which distributors or dealers sell
MBRP branded products. It does not establish maximum advertised prices or require specific prices to be advertised. This policy does not apply to the actual price at which a product is sold or pricing displayed within a physical retail store and not visible from outside of the store.
In the event that MBRP determines that a dealer or distributor has violated this policy, then MBRP will attempt to send a notice of policy violation to the dealer or distributor. If the dealer or distributor does not take appropriate action to remove the offending material within a period of time defined by MBRP, then MBRP may terminate or otherwise alter its relationship with the dealer or distributor or, at its sole discretion, alter the primary marketing discount made available to such distributor or dealer taken off the Jobber price on invoice. In the case of a dealer, MBRP will notify all distributors that the dealer is not permitted to purchase MBRP products directly or indirectly. It is the responsibility of each dealer or distributor to monitor MBRP price changes and review all advertisements before publication to ensure compliance with this policy.
MBRP dealers and distributors are required to represent responsibly the MBRP brand, use MBRP intellectual property only as authorized, and comply with all MBRP policies. MBRP reserves the right to discontinue selling MBRP products to any distributor or reseller for any reason MBRP determines to be in the best interests of its brands.
