Minimum Advertised Price
(MAP) Policy

Canton Racing Products is very proud of our reputation for superior quality and performance
and greatly values our network of resellers that understand and promote Canton’s position as a
premium offering. In order to maintain this reputation and commitment to quality as well as
support the important pre-sale and post-sale services and infrastructure that are needed to service
the high performance customer Canton Racing Products has unilaterally adopted this Minimum
Advertised Price Policy (MAP Policy). This MAP policy will support the integrity of the
Canton Racing Product brand. This MAP policy applies to all distributors and retailers reselling
Canton Racing Products merchandise in the United States & Canada.

The MAP policy works under the following guidelines:

1. When choosing to discount or offer a special on products the advertised retail price for
products shall be no less then the MAP price listed on the most recent Canton Racing
Products price sheet.

2. The MAP policy applies to all products unless otherwise noted on the MAP price list.
Exceptions will include promotional items and non-Canton brands offered by Canton.
Canton reserves the right to modify or suspend the MAP for products that are being
discontinued, are just being released, or have other reason for Canton to adjust MAP
pricing. Notice to dealers and distributors will be provided for these rare exceptions.

3. The MAP policy applies to all forms of advertising, including, but not limited to: flyers,
posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs,
internet or similar electronic media including website pages, email newsletters, email
solicitations, social media, television, radio, and public signage. The MAP policy
applies only to advertised prices and does not apply to the price at which the products are
actually sold or offered for sale. Thus the MAP policy is not applicable to any in-store
displays not distributed to any customer, point of sale signage, hangtags or bar codes or
similar marks on products or product packaging, which merely state the price. In that
regard, this MAP policy does not apply to the actual sale price on the “check-out” page
of any reseller’s website.

4. When pricing is displayed at the MAP, no strike-through or other alteration to the price
may be made that suggests a price lower then MAP. Phrases such as “subtract” “take
away”, or “less” may not be used if it results in a price below MAP.

5. Bundling or including free or discounted product with a product covered by this MAP
policy would not violate this policy if the bundle is not advertise at a price below the
MAP for the covered item or the sum of MAPs for covered items.

6. In cases of non-compliance to the policy :
Upon the first violation rights to make purchases of any Canton products will be
suspended for a period of 7 days.
Upon a second case suspension will extend to twenty-one (21) days and include the loss
of rights to use Canton intellectual property including logos and product images as well
as removal from Canton’s dealer locator and data feed programs.
Upon third case this suspension will extend to ninety (90) days, and for any subsequent
non-compliance suspension will extend to a minimum of one (1) year.
Canton reserves the right to terminate all orders and immediately and indefinitely
discontinue selling its products to customers who are in violation of the policy.

7. Those retailers in suspension will be listed on the “do not sell” list which will be
distributed through the Canton Racing Products distribution network. Those on the list
will not be able to purchase Canton Racing Products merchandise from Canton or any
Canton distributor while they are on the list. Distributors who sell to “do not sell”
retailers will be considered in violation of this policy.

Canton Racing Products acknowledges that our customers are free to advertise and sell to
whomever and at whatever prices they choose, but we do not support marketing programs
that have the effect of diminishing or detracting from the value of Canton Racing Products.
Canton Racing Products will actively and uniformly enforce this policy. No written or
verbal acceptance is being sought to accept the terms of this policy. Each individual reseller
can, at their own discretion, choose to comply or to not comply with this policy. This policy
is non-negotiable. No employee or sales representative of Canton Racing Products has any
authority to discuss or modify this policy.

MAP Administrator is the only point of contact authorized to answer questions regarding the
policy or to comment on the policy on behalf of Canton Racing Products. Policy Administrator
