Overview: To retain brand value and a healthy distribution channel, CHA Industries, Inc. dba Revolution
Gear & Axle has implemented a Retail Unilateral Pricing Policy (UPP).
The Retail Unilateral Pricing Policy (UPP) sets a Minimum Retail Price (MRP) for all Revolution Gear &
Axle products. This policy is designed to curb price slashing among Revolution Gear & Axle dealers and
resellers (Mass Merchants, Jobber Stores, Mail Order, Automotive Shops, Online Dealers, or any Retail
Outlet), enabling them to remain profitable in this highly competitive business environment. In order to
remain in good standing, Revolution Gear & Axle Resellers must advertise and sell all products at or
above the MRP.
Revolution Gear & Axle will be utilizing the services of MAP Services Corp. to administer and enforce the
UPP. MAP Services Corp. will administer the UPP by sending resellers notifications of violations.
Violations or refusal to participate in the Revolution Gear & Axle UPP could result in loss of: Rights to use
Revolution Gear & Axle intellectual properties and ability to purchase Revolution Gear & Axle products.
Reseller Defined: A reseller constitutes any merchant that sells to consumers. This includes, but is not
limited to: jobbers, retailers, online dealers, warehouse distributors, auction sellers, or auction sites. A
reseller is also considered to be anyone that uses Revolution Gear & Axle trademarks in connection with
the advertisement, offering for sale, or sale of Revolution Gear & Axle goods, whether such use is with
or without Revolution Gear & Axle’s consent.
Furthermore, warehouse distributors (WD) are responsible for monitoring to whom they sell to and
ensuring that the purchasing party is not violating the UPP. Failure to do so will result in penalties as
defined below.
Violations: A violation is defined as the sale or advertising of Revolution Gear & Axle product(s): Selling
below the stated MRP; Which are bundled together at a price below the aggregated MRP of the
individual items; On a website with ambiguous pricing such as: “See Price in Cart”, “Make Offer”, “bid”,
rebate funds, customer specific funds, or “Contact for pricing”. Also a “Coupon Code” or other
mechanism that reduces the price below the current Unilateral Price set forth in the price file.
Promotions: Revolution Gear & Axle reserves the right to run promotions of their products. Revolution
Gear & Axle will provide to resellers the promotional information, with adequate timing, to ensure
continued compliance with the pricing policy. Revolution Gear & Axle encourages resellers to utilize the
promotions to their advantage while providing a high level of customer service to the end user.
Revolution Gear & Axle encourages retail promotions and sales of our products. All retail promotions
must be approved by Revolution Gear & Axle in writing 15 days prior. If the retail promotions do not
meet the requirements of the UPP, they will be in violation, subject to enforcement and penalties.
Limitations on Sales:
The reseller shall only sell the Brand at the reseller’s retail store, mail order catalog, internet website, or
at retail booths operated by the reseller at events such as tradeshows, off-road events and races. Selling
or listing the Brand on third-party sites (i.e. Amazon, eBay, Walmart, etc.) is strictly prohibited without
prior written permission.
Amazon, eBay and Walmart Policy:
Under no circumstances shall a warehouse distributor or a reseller sell or list to Amazon, eBay and/or
Walmart marketplaces directly or indirectly without approval from Revolution Gear & Axle.
Approved marketplace resellers must adhere to the Retail Unilateral Pricing Policy (UPP) when listing,
advertising or promoting products or services covered by our UPP.
Enforcement & Penalties:
Once a violation is discovered, the reseller will be notified and have; (2) business days or (48) hours from
the date the notification was composed to correct an internet violation, and (3) business days or (72)
hours to correct all other violations. If a violation is not reconciled within the time period allotted, the
reseller will automatically receive the subsequent notification(s). If the third and final notification is
sent, the violator with incur the following;
1. Penalty for First Violation:
– Direct Accounts will: Lose the privilege to purchase Revolution Gear & Axle products for (10)
days.
– Non-Direct Accounts will: Be added to the warehouse distributor Do Not Sell (DNS) list and lose
the privilege to purchase Revolution Gear & Axle products for (30) days.
2. Penalty for Second Violation:
– Direct Accounts will: Lose the privilege to purchase Revolution Gear & Axle products for (30)
days.
– Non-Direct Accounts will: Be added to the warehouse distributor DNS list and lose the privilege
to purchase Revolution Gear & Axle products for (90) days.
3. Penalty for Third Violation:
– Direct Accounts will: Have all open orders and backorders immediately canceled. Immediate
action must be taken to remove all Revolution Gear & Axle products from the website(s). The
following will be revoked immediately and remain in affect indefinitely; All Revolution Gear &
Axle intellectual property rights. Privilege to purchase all Revolution Gear & Axle products.
– Non-Direct Accounts will: Immediately be placed on the Revolution Gear & Axle DNS List. This
includes all Revolution Gear & Axle products. All Revolution Gear & Axle intellectual property
rights are immediately revoked.
Revolution Gear & Axle will make the final determination as to whether the violation will be withdrawn.
This policy may be modified or amended at any time by Revolution Gear & Axle. If any changes are to
occur, Revolution Gear & Axle will distribute a (30) day written notice of any changes to its resellers.
