MINIMUM ADVERTISED PRICING POLICY

Dayco Products, LLC (“Dayco”), manufacturer of Dayco® branded products, devotes substantial
resources to actively supporting the advertising and promotion of its products by its distributors.
In order to protect the image of the Dayco brand as a premium brand, effective January 1, 2023,
a Minimum Advertised Price (MAP) policy on all Dayco branded products will be in effect for all
U.S. and Canadian distributors.

MAP Policy:

1. The MAP for all Dayco® branded products shall be no less than the Jobber blue sheet
published price. The MAP is unilaterally established by Dayco and may be adjusted from
time to time by Dayco in its sole discretion. The policy will be strictly and uniformly
enforced by Dayco. Dayco reserves the right to expand the list of products to which the
MAP applies.

2. The MAP policy applies to all advertisements of Dayco® branded products in any and all
media, including, but not limited to flyers, posters, coupons, mailers, inserts,
newspapers, magazines, catalogs, mail order catalogs, email newsletters, email
solicitations, internet or similar electronic media, apps, social media, television, radio and
public signage. The MAP policy is not applicable to any advertising that is displayed
solely at a distributor’s on-premises location and not distributed to any of distributor’s
customer(s). It shall not be a violation of this MAP policy to advertise that a customer
may “call for price” or “email for price” or to use similar language so long as no price is
listed.

3. The inclusion in advertising of free or discounted products with Dayco® branded products
would be contrary to the MAP policy if it discounts the advertised price of Dayco branded
products below the MAP. The MAP policy does not apply to customer rewards or loyalty
programs.

4. If pricing is displayed, any strike-through or other alteration of the MAP is prohibited.

5. The MAP policy applies only to advertised prices and does not apply to the price at
which Dayco® branded products are actually sold or offered for sale by a distributor.
Distributors are free to sell Dayco branded product(s) at any price(s) they choose.

6. The MAP policy does not establish maximum advertised prices. All distributors may
advertise Dayco® branded products at any price in excess of the MAP. Internet auctions
may not display or have reserved bid or other acceptable prices below the MAP price.

7. The MAP policy does not in any way limit the ability of any distributors to advertise that
they have “the lowest prices”, or they “will meet or beat any competitor’s price”, or similar
phrases as long as the price advertised for Dayco® branded products is not less than the
MAP.

8. All Dayco trademarks and other intellectual property are the property of Dayco.
Distributors must use Dayco’s official, regional co-op guidelines for advertising provided
by Dayco in an authorized manner only.

9. Dayco does not intend to do business with distributors who degrade the image of the
Dayco® brand. Dayco will, without assuming any liability, follow the Dayco MAP Strike
Policy set forth in Exhibit A, immediately following Dayco’s unilateral determination that a
distributor has violated this policy.

10. The MAP policy has been unilaterally adopted by Dayco and will be uniformly enforced
by Dayco in its sole discretion. Nothing in this MAP policy or in any contract or
agreement with Dayco shall constitute an agreement between Dayco and any distributor
that the distributor will comply with this MAP policy. Distributor has sole discretion to
decide whether or not to comply with this MAP policy. Dayco will not discuss or accept
any conditions of acceptance concerning the MAP policy, as it is non-negotiable and will
not be altered for any distributor.

Exhibit A

Dayco MAP Strike Policy

Strike 1

• Email warning to comply and correct, within 3 business days, ALL
violations notified.

Strike 2

• Email notification to comply and correct, within 3 business days, ALL
violations notified. Failure to comply and correct violations within 3
business days results in loss of prepaid freight for 90 days.

Strike 3

• Email notification to comply and correct, within 3 business days, ALL
violations notified. Failure to comply and correct violations within 3
business days results in suspension of sales of product group in
violation for 60 days.

Strike 4

• Email notification to comply and correct, within 3 business days, ALL
violations notified. Failure to comply and correct violations within 3
business days results in suspension of sales of product group in
violation for 180 days.

As used in this Exhibit A, “3 business days” is measured from the day
Dayco sends the email to the distributor. Any recurring violations within a
180-day time period or failure to meet the specified timeline to correct a
violation will result in enforcement of the next strike level. If there are no
further violations within the 180-day time period, the violating distributor’s
strike level will reset.
