Gator Cases was founded in 2000 by father-daughter team Jerry Freed and Crystal Morris in Tampa, Florida. Initially, they launched with a small offering of molded plastic guitar cases at the Summer NAMM show in Nashville, Tennessee. From there, they expanded the product line to include case and bag solutions for pro audio, IT, audio visual, general utility, band instrument, and percussion. The line now consists of over 1000 different solutions that are made from vacuum-formed plastics, rotational-molded plastics, wood, sewn, and EVA materials.
This policy has been unilaterally adopted by Gator Co. and will be uniformly enforced.
This document refers to all brands/divisions of Gator Co., including, but not limited to, Gator Cases,
Frameworks, Protechtor, Rackworks, and Levy’s Leathers LTD. (the foregoing collectively hereinafter referred to
as “Gator Co.”).
This Minimum Advertised Price Policy, hereafter referred to as “MAP Policy,” covers all Gator Co. resellers
located in the United States. Although resellers remain free to establish their own resale prices, Gator Co. will,
without assuming any liability, enforce this policy on resellers who advertise applicable Gator Co. products at
prices below those specified herein. Gator Co. will not discuss any alternate conditions related to this MAP
Policy as it is non-negotiable and will not be altered for any reseller.
MAP applies only to advertised prices and does not apply to the price at which any products are actually sold.
The current listing of products and applicable MAP prices are published solely by Gator Co. Products and MAP
are subject to change at any time and at Gator Co.’s sole discretion. Gator Co. resellers are responsible for
remaining current with MAP Policy, products and pricing. Each instance of advertisement below the MAP will
be considered a violation of the MAP Policy.
The MAP Policy applies to all advertisements of specific Gator Co. products in any and all media including,
without limitation: flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order
catalogs, Internet or similar electronic media, television, radio and public signage. The MAP Policy is not
applicable to any in-store advertising as long as the advertisement cannot be removed from premises.
Any language or device that would lend the customer to be able to calculate a net reduction of the advertised
price prior to putting an item in the cart is prohibited. The following advertising tag lines or statements will be
considered to be a violation of Gator Co.’s MAP Policy if the price is below the MAP price:
• “See low price in cart”
• “Low price in cart”
• “Dollars off”
• “Percentage off”
Factory-refurbished products may be advertised at prices below the current MAP ONLY in local print media or
on the reseller’s own website, provided the description accompanying the advertised price clearly states that
the products are “factory refurbished,” “factory restock” or “used” and such products only carry Gator Co.’s
refurbished product limited warranty. Resellers may not advertise factory refurbished products at prices below
the current MAP on third-party websites or through internet auctions. For purposes of this MAP Policy, factory
refurbished products must have been purchased as “refurbished” directly from Gator Co. and must be in the
reseller’s stock prior to their being advertised for sale.
“Demo”, “Floor Sample”, “Used,” “Display” products may be advertised at prices below the current MAP only
in local print media or on the reseller’s own website, provided the description accompanying the advertised
price clearly states that the products are “Demo,” “Floor Sample,” “Used” or “Display” products and are sold
“AS IS.”
Resellers may not advertise any “Demo”, “Floor Sample,” “Used” or “Display” products at a price below the
current MAP, unless the product being advertised is in the reseller’s stock prior to being advertised for sale
and, if the product being advertised has a serial number, the advertisement must include such serial number.
Resellers may not advertise “Demo,” “Floor Samples,” “Used,” “Display” or similar products at prices below
the current MAP on third-party websites or through internet auctions.
“Open Box” products are not included within this MAP exception; therefore, “Open Box” products may not
be advertised at a price lower than the MAP reflected on Gator Co.’s current price list.
Discontinued products may be advertised at prices below the current MAP only in local print media or on the
reseller’s own website, provided those items have been designated as “Discontinued” on the applicable Gator
Co. website.
The MAP Policy does not apply to Gator Co. products that are bundled with another manufacturer’s product of
equal or higher value.
Resellers may not advertise discontinued products at prices below the current MAP on third-party websites or
through internet auctions.
Gator Co. products sold on auction sites must comply with MAP. The opening bid or “buy it now” price must
adhere to MAP price to remain in compliance.
”Call for price” is not considered a violation of the MAP Policy as long as there is no price stated.
The MAP Policy does not in any way restrict reseller’s ability to determine its own resale prices for products.
In certain circumstances, and at its sole discretion, Gator Co. may authorize a temporary MAP Policy suspension,
wherein it will allow a specific reseller and/or resellers to advertise certain Gator Co. products at prices below
MAP, for a specified period of time (a “MAP Holiday”). Any such, MAP Holiday authorizations must be
requested by the applicable reseller in writing to Gator Co. and such reseller must receive written approval of
the terms governing such MAP Holiday (i.e., applicable products, allowed price and length of term of MAP
Holiday) from Gator Co.
Resellers are not authorized to sell Gator Co. products to any entity other than consumer end users, or to sell
under any name other than the corporate name or the commonly established trade name of reseller, e.g., no
resale under a new d/b/a or other fictitious name other than the name by which reseller is commonly known to
consumers. The reseller’s online marketing, promotion and sales of Gator Co. products must be consistent with
the sale/positioning at the reseller’s brick and mortar retail outlet. Internet resellers may not authorize or
facilitate any third-party reseller or wholesaler to also sell Gator Co. products on or through reseller’s website.
If reseller is authorized by Gator Co. to sell Gator Co. products via reseller’s website, resellers may not outsource
fulfillment of any orders for such products, in whole or in part.
Violations of the MAP Policy shall be determined by Gator Co. in its sole discretion.
Gator Co. will notify reseller in writing of any violation of the MAP Policy by reseller, in which event certain
actions against reseller will apply as specified below. The actions for violation of the MAP Policy in any 12-
month period are as follows:
1) 1st Violation: Reseller’s access to Gator Co. products in violation of MAP Policy (i.e., Reseller’s ability to
order and obtain those products from Gator Co.) will be suspended for 14 days.
2) 2nd Violation: Reseller’s access to Gator Co. products in violation of MAP Policy will be suspended for
30 days.
3) 3rd Violation: Reseller’s access to Gator Co. products in violation of MAP Policy will be suspended for 60
days.
4) 4th Violation: Reseller’s access to Gator Co. products in violation of MAP Policy will be suspended for
180 days and will include all other products in the same product category. During the same period,
Gator Co. reserves the right to deny reseller of reseller benefits, including, but not limited to, marketing
support and/or program discounts.
Failure to adhere to the MAP Policy will be a factor taken into consideration in the determination of the
acceptance of reseller’s ability to sell Gator Co.’s products.
Gator Co. may, at its sole discretion, terminate its business relationship with any reseller that fails to comply
with the Policy.
Gator Co. reserves the right at any time to modify, suspend or discontinue the MAP Policy, in whole or in part,
or to designate a MAP Holiday, during which the terms of the Policy are modified or during which the Policy is not applicable.
Gator Co.’s sales, administrative and customer service personnel have no authority to modify or grant
exceptions to this Policy or to have communications with any reseller regarding violations.
All questions or comments regarding this MAP Policy are to be directed to the current Director of Sales or
Company President. Gator Co. will notify resellers in writing regarding violations of this Policy.
