U.S. RETAIL MINIMUM ADVERTISED PRICE (MAP) POLICY

Purpose

King Engine Bearings was founded in 1960 with one simple objective: to supply the highest quality bearings available in the marketplace. By specializing in engine bearings, King has built an extensive product offering that includes a wide range of engine bearings for automobiles, light duty and heavy duty trucks, marine, aviation, standby power and many other types of internal combustion engines. Every King bearing utilizes the highest quality materials and the most advanced designs to ensure complete customer satisfaction.

In an effort to preserve the integrity of the brand and the reputation for providing consumers with quality products, King Engine Bearings is unilaterally establishing a Minimum Advertised Price (“MAP”) Policy effective July 1, 2024 for all its products.

Introduction

This MAP Policy establishes an advertised pricing standard for all King Engine Bearings products.  King Engine Bearings recognizes its prime resellers invest time and considerable resources to deliver an outstanding customer service experience through knowledgeable staff and compelling marketing programs in the United States and/or Canada. This policy is designed to help King Engine Bearings’s quality resellers maintain the long-term strength of King Engine Bearings’s brands, by helping their resellers earn the necessary profits required to maintain the highest level of customer service and buying experience for the end user.

The MAP Policy applies only to advertised price and does not apply to the price at which the products are actually sold. In addition, this MAP Policy does not establish maximum advertised prices. Retailers may advertise King Engine Bearings at any price in excess of MAP. Each Retailer is free to set its actual resale price for any product independently. King Engine Bearings and its employees have no authority to define what resale prices must be or to otherwise interfere with the establishment of resale prices.

Policy Coverage

This MAP Policy covers King Engine Bearings products that are offered for sale in the United States and Canada. Although Retailers remain free to establish their own resale prices, King Engine Bearings will, without assuming any liability, unilaterally impose sanctions as described in this policy against Retailers who advertise King Engine Bearings products at prices below MAP.  King Engine Bearings will not discuss any conditions of acceptance related to the MAP Policy, as it is non-negotiable and will not be altered for any Retailer.

Scope

The MAP Policy applies to all advertisements of King Engine Bearings products including, without limitation:

• Print advertising such as posters, flyers, newspaper and magazine advertisements, print inserts, Yellow Pages, and other directories, with the exception of in-store advertising.
• Broadcast advertising such as radio and TV.
• Direct advertising such as e-mails, catalogs, flyers, coupons, newsletters, direct mail pieces, and faxes, whether mailed, hand delivered, or shipped in-box with the Product.
• Internet sites, social media sites, internet banners and pop-up ads.
• Club membership sites, third-party marketplace websites (Amazon, eBay, Facebook marketplace etc.) and third-party shopping tools. King Engine Bearings products can be auctioned on internet auction sites as long as the Reserve Price is equal to or greater than the minimum advertised price and is displayed as part of the advertisement.

Guidelines

• A Retailer shall not advertise King Engine Bearings products at prices less than the MAP.
• Prices displayed on any website are considered advertising and must comply with the MAP.
• Website features such as “click for price”, “add to cart”, “call for price” or any language, symbol, or images that suggest, in King Engine Bearings’ sole discretion, that there may be a lower price elsewhere is a violation of the MAP Policy.
• Bundling and Value-Added Offers: All bundles must be advertised at or above the cumulative MAP of the King Engine Bearings If a King Engine Bearings Product is bundled with a non- King Engine Bearings product, the advertised bundle price must be at or above the MAP of the King Engine Bearings Product plus the price of the non- King Engine Bearings Product, if sold separately.
• Gift Cards and Rewards Programs: Gift cards and rewards program points can be offered to consumers who buy King Engine Bearings, as long as the gift cards or rewards points are offered on all products (King Engine Bearings, non-King Engine Bearings) sold by that Retailer. The gift card or rewards points cannot be applied on the initial purchase transaction; it must be applied to a future consumer purchase.
• The MAP Policy also applies to any activity which King Engine Bearings determines, in its sole discretion, is designed or intended to circumvent the intent of the MAP Policy. All Resellers are liable for all advertised prices across the web, including the price on Google Shopping. It is the Resellers responsibility to correct any errors or issues directly with Google.

Non-Compliance:

King Engine Bearings product advertisements are monitored through it’s own staff, outside consultants and/or agents. MAP Services Corp is directly involved with the actions taken towards dealers, distributors and unauthorized resellers which are in violation of King Engine Bearing’s MAP program. King Engine Bearings reserves the right to take all unilateral actions it deems appropriate to maintain desired distribution channels and protect the historic value of its brands. This may include (with or without prior notice), suspension of IP use rights, requiring take down of all advertising violations, loss of authorized dealer status, authorized dealer benefits, and being placed on a King Engine Bearings “Do Not Sell List”.

Violations, and King Engine Bearing’s unilateral response may include but are not limited to the actions described in this MAP Policy.

Promotions

King Engine Bearings reserves the right to run promotions of their products that may lower the MAP price. King Engine Bearing encourages Retailers to utilize the promotions to their advantage while still providing a high level of customer service to the consumer.

Damaging or Brand Devaluing Terms

Any terms that may be perceived as diminishing the value of the King Engine Bearings Brand and/or Products may not be used such as “Overstocked” and “Inventory Blowout” in any advertisement.

No Agreement

The MAP Policy does not constitute an agreement between King Engine Bearings and any Retailer.

Compliance with the MAP Policy is not evidence of any kind of agreement between the Retailer and King Engine Bearings. The MAP Policy is in addition to, and does not supersede or limit in any respect, any other terms or conditions of any existing agreement between King Engine Bearings and the Retailer.

Policy Modifications

King Engine Bearings reserves the right at its sole discretion to modify, suspend, or discontinue the MAP

Policy at any time in whole or in part or designate promotional periods during which the terms of the MAP Policy change or designate periods of time during which the MAP Policy is not applicable. These announcements will be published via (TBD).

Authority

King Engine Bearings alone is responsible for enforcing this Policy and will do so unilaterally. King Engine Bearings’ designated MAP Policy Manager is the only person authorized by King Engine Bearings to communicate MAP Policy updates, changes, or decisions. No other King Engine Bearings representative or agent is authorized to confirm compliance with or amend this MAP Policy. King Engine Bearings will not communicate with any Retailer regarding another Retailer’s advertising practices. King Engine Bearings SALES PERSONNEL HAVE NO AUTHORITY TO MODIFY OR GRANT EXCEPTIONS TO THIS POLICY.
