Retail Unilateral Pricing Policy
Effective Date: February 7th, 2022

Overview: To retain brand value, integrity, and a healthy profitable distribution channel, Magnuson
Superchargers has a Retail Unilateral Pricing Policy (UPP) that will be strictly enforced. This document outlines
changes in how the UPP will work.

No written or verbal acceptance or agreement is being sought by or will be received by Magnuson
Superchargers with respect to the terms of this policy. The Magnuson Superchargers UPP does not constitute
an agreement or contract between Magnuson and their resellers. The policy is unilateral and non-negotiable.

The Policy: The Retail Unilateral Pricing Policy (UPP) sets a Minimum Retail Price (MRP) for all Magnuson
Supercharger products. The MRP for a product is the price shown on Magnuson’s website (www.magnusonsuperchargers.com) and also in all Magnuson price files. This policy is designed to curb price degradation among Magnuson Supercharger resellers (such as Mass Merchants, Jobber Stores, Mail Order, Speed Shops, online dealers, or any retail outlet), enabling each of them to remain profitable in this highly
competitive business environment. To comply with the policy and remain in good standing, Magnuson
Supercharger Resellers must advertise and sell all products at, or above, the MRP. Violations of or refusal to
participate in the Magnuson Superchargers UPP could result in account suspension, loss of rights to use
Magnuson intellectual properties, and inability to purchase Magnuson Supercharger products indefinitely.

Enforcement: Magnuson Superchargers will be utilizing the services of MAP Services Corp. to administer and
enforce the UPP.

Reseller Defined: A reseller constitutes any merchant that sells to consumers, directly or indirectly. This
includes, but is not limited to jobbers, retailers, online dealers, warehouse distributors, auction sellers, and
auction sites. A reseller is also considered to be anyone that uses Magnuson Supercharger trademarks in
connection with the advertisement, offering for sale, or sale of Magnuson goods, whether such use is with or
without Magnuson’s consent. All resellers are responsible for ensuring their advertising and sales comply with the UPP.

Direct Accounts are defined as having an active account number with Magnuson Superchargers and
purchasing Magnuson products on a direct basis.

Non-Direct Accounts are defined as accounts that purchase Magnuson products through a Magnuson
Superchargers Dealer, Distributor, or Master Warehouse Distributor that in turn sell directly to end users.

Magnuson Dealer, WDs, and MWDs additionally are responsible for monitoring the purchasers to whom they
sell and for ensuring that the purchasing party is not violating the UPP. Failure to do so may result in penalties
to both the reseller and the WD.

Violations: A violation is defined as the sale or advertising of any Magnuson Superchargers product(s):

• At a price that is below the stated MRP;
• Bundled with other items at a price below the aggregated MRP of the individual items;
• A visible strike out, deletion or alteration of any price in any advertising is strictly
prohibited. No statements or options related to Magnuson Superchargers which may lead consumers to
perceive the offer of prices below MRP. Statements such as “call”, “call for price”, “email to get the lowest
price”, “best offer”, “make offer”, “Bid”, “see Price in Cart”, “place in shopping cart to see our lowest price”,
“at least x% off”, “instant message for price”, “we pay the sales tax”, “sales tax included”, rebate offers,
customer specific offers, or other similar statements or options are prohibited

The policy applies to sales, advertisements or offers on all media including, without limitation, price lists,
invoices, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs,
internet or similar electronic media including web site, forums, social media, email newsletters, email
solicitation, television, radio, and public signage.

Promotions: Magnuson Superchargers reserves the right to run National Promotions of their products.
Magnuson will provide to resellers the promotional information, with adequate timing, to ensure continued
compliance with the UPP. Magnuson Superchargers encourages resellers to utilize the national promotions to
their advantage while providing a high level of customer service to the end user.

Magnuson Superchargers encourages retail promotions and sales of our products. All retail promotions must
be approved by Magnuson Superchargers in writing 90 days prior. If retail promotions are not approved or do
not meet the requirements of the UPP, they will be in violation, subject to enforcement and penalties.

Enforcement & Penalties: MAP Services Corp. will administer the UPP by sending resellers notifications of
violations. Once a notice of violation is delivered, the reseller will automatically be penalized for their violation
in accordance with the penalties stated below. The reseller will have (2) business days from the date the
notification was delivered to correct an internet violation, and (3) business days to correct all other violations.
If a violation is not corrected within the time period allotted, the reseller will automatically receive a second
notification of violation. Magnuson Superchargers will make the final determination as to whether the
violation will be withdrawn.

1. Penalty for First Notification of Violation: a. Direct Accounts will lose the privilege to purchase the product
found to be in violation for (30) days. b. Non-Direct Accounts will be added to the warehouse distributor Do
Not Sell list and lose the privilege to purchase the product found to be in violation for (30)
days.

2. Penalty for Second Notification of Violation: a. Direct Accounts will lose the privilege to purchase all
products for (90) days and the privilege of being listed on the Magnuson Dealer Locator. b. Non-Direct
Accounts will lose all rights to use Magnuson Superchargers intellectual properties, will have two (2) business
days to remove them from their website or receive a third notification of violation.

3. Penalty for Third and Final Notification of Violation: a. Direct Accounts: Permission to display or advertise
Magnuson Supercharger products on any website is revoked. The following also will be revoked immediately
and remain in effect indefinitely: (i) All Magnuson Superchargers intellectual property rights. (ii) Privilege to
purchase any and all Magnuson Supercharger products including the immediate cancellation of any and all
orders. (iii) Privilege of being listed on the Magnuson Superchargers dealer locator. The Direct Account will be
suspended and placed indefinitely on the Magnuson Superchargers Do Not Sell List. b. Non-Direct Accounts
will immediately be placed permanently on the Magnuson Superchargers Do Not Sell List for all Magnuson
products and all Magnuson intellectual property rights are immediately revoked.

This policy may be modified or amended at any time by Magnuson Superchargers. If any changes are to occur,
Magnuson will distribute a (30) day written notice of any changes to its resellers. Updated information

IF YOU HAVE BEEN MADE AWARE OF THIS UPP AND CONTINUE TO SELL MAGNUSON SUPERCHARGER
PRODUCTS, YOU WILL BE HELD RESPONSIBLE FOR COMPLYING WITH ALL OF THE PROVISIONS OF THIS UPP
AND SUBJECT TO PENALTIES FOR VIOLATIONS.
