We want to create value for our distribution partners by redefining the value segment:
Omnisource United, Inc, a Texas corporation, USA (herein after referred as “Omni”), a distributor of
Radar Tires is committed to offering the highest quality products that consumers demand. Omni has
the license to use Radar Tires trademarks, various derivatives thereof, logos, copyrights to materials
and other intellectual property associated with the Brand (collectively referred to as “Marks”) for sale
and distribution, marketing and promotion, advertisements and to sub-license limited use of Marks
to its Distributors and Retailers (“ Dealers”) on non-exclusive basis for sale and distribution of Radar
Tires, including any and all related activities in connection therewith, in all cases pertaining to such
Radar Tires procured from Omni as long as they adhere to Omni policies, including this Minimum
Advertising Pricing Policy (the “Policy”).
This Policy is designed (i) to generally support the Brand as a premium offering in the marketplace,
(ii) to ensure all Dealers dedicate sufficient resources to promote the Brand, (iii) to promote fair
competition (iv) to enable Dealers to continue to employ knowledgeable sales associates to support
the Brand, (v) to enable Dealers to provide high quality pre-sale and post-sale services in support of
the Brand, (vi) to strengthen Dealers relationship, and (vii) to otherwise promote activities that will
enhance the desirability of the Brand. Each Dealer is free to independently set its resale prices for
any product at its own discretion, but Omni’s Policy establishes advertised price standards for the
Brand. Omni has adopted this Policy unilaterally for the express purposes set forth above. Failure to
abide by this Policy may result in warning letters, temporary suspension of the product shipments,
including termination as a Dealer.
THE POLICY IS MEANT FOR RETAIL ADVERTISED PRICE AND IN NO
WAY DICTATE THE FINAL SELLING PRICE BY THE DEALER.
Dealers may not advertise a retail advertised price through Covered Advertising (defined below)
that is less than the current MAP price.
“Covered Advertising” is defined as:
1. Print advertising such as newspapers, magazines, print inserts, outdoor billboards/signage;
2. Broadcast advertising such as radio and TV;
3. Public advertising such as catalogs, flyers, newsletters, and broadcast faxes, whether mailed,
hand-delivered, or shipped in-box with product;
4. Electronic broadcast mail (e-mail) advertising. Any web pages that link from the e-mail are
considered part of the e-mail advertisement;
5. Internet advertising such as banner, pop-up, and pop-under ads;
6. And any website accessible to the public including traditional retailers, club membership sites,
e- tailers, vendors, portals, shopping sites, owned or 3rd party marketplace, blogs, forums, auction
sites, etc.

3. Any Member-only pricing or loyalty customer discounts
4. Bundled Discount with value added service
5. MAP holiday and exemptions as informed by Omni
This Policy only relates to current active merchandise for the Brand. Any products deemed by Omni
as closeouts are not subject to this Policy.
A visible strike out, deletion or alteration of any price in any Internet advertising is strictly prohibited.
Dealers must not include statements or options related to the Brand which may lead consumers to
perceive the offer of prices below the MAP Price. Statements such as “call”, “call for price”, “email to
get the lowest price”, “guaranteed lowest prices”, “best offer”, “place in shopping cart to see our
lowest price”, “at least x% off”, or other similar statements should not be used in advertisement.
From time to time the Brand may engage in promotions with respect to certain products included in
the Policy. Omni reserves the right to unilaterally modify or suspend the Policy with respect to these
promotions by giving 30 days prior notice.
Radar Tires advertisements https://www.mapservicescorp.com] are monitored by MAP Services Corp.
MAP Services Corp is directly involved with the actions taken towards dealers, distributors and
unauthorized resellers which are in violation of Omni’s’ MAP program. Omni reserves the right to
take all unilateral actions it deems appropriate to maintaining desired distribution channels and
protecting our brand equity. This may include (with or without prior notice) suspension of IP use
rights, requiring take down of all advertising violations, loss of authorized dealer status and/or
authorized dealer benefits, and being placed on a “Do Not Sell List”. Violations and Omni’s
unilateral response may include but are not limited to the MAP violations and actions described
in the Authorized Dealer Program. For violation, the Dealers may expect as below apart from
other response :
• First Violation: Written warning with 48 hours to correct the pricing issue.
• Second Violation: Temporary suspension of access to product shipments for 30 days.
• Third Violation: Termination of dealership authorization and removal from our authorized
reseller program.
