This Radian Unilateral Minimum Advertised Price Policy (“Policy”) governs the
minimum price that distributors, dealers and retailers may advertise Radian
Weapons’ (“Radian”) products. Radian has spent over a decade building a
brand of strong recognition and high value. Consumers have come to associate
Radian products with high quality and craftsmanship, and perceive Radian as a
manufacturer of premium firearms, accessories, and apparel. For this reason, it
is vitally important to Radian to maintain its reputation as a manufacturer of
premium, high value, and prestigious products by setting forth minimum
advertised prices for its products. Accordingly, Radian has adopted this Policy
to prevent advertising that tends to devalue or degrade the goodwill and
reputation of Radian products in the marketplace and to ensure that resellers
have the incentive to invest resources into services for Radian’s customers.
This Policy does not limit or otherwise establish the resale prices of
Radian products. Radian’s suggested resale/retail prices are only
suggestions and distributors, dealers and retailers are free to make their
own determinations on the resale price of Radian products, provided that
all distributors, dealers and retailers of Radian products must comply with
this Policy.
Radian does not ask for, nor will it accept, any assurance of compliance
or agreement from a distributor, dealer or retailer regarding this Policy nor
will it discuss any conditions of acceptance related to this Policy.
Notwithstanding anything to the contrary which may be expressed or
implied in or by one or more agreements between distributers, dealers and
retailers and Radian, nothing in those agreements shall constitute an
agreement by the distributor, dealer or retailer to comply with this Policy.
This Policy applies to all distributors, dealers and retailers, including online
retailers, that sell new Radian products (collectively, “Accounts”). Radian will
only do business with Accounts who: (a) commercially advertise Radian
products at or above the established Minimum Advertised Price or (“MAP”); and
(b) only resell to dealers and retailers who likewise only advertise Radian
products at or above MAP. It is the responsibility of each Account to ensure
that all those dealers and retailers to whom that Account sells Radian
products are promptly provided notice of this Policy. This Policy is
nonnegotiable.
The established MAP for each Radian product can be found in your Radian
dealer account. If a particular Radian product does not appear on the current
MAP listing, then the minimum advertised price for that specific product is that
product’s Manufacturer’s Suggested Retail Price (“MSRP”). Upon introduction
of any new product by Radian, Radian will notify Accounts of the applicable
MAP for the product, and it will be the sole responsibility of each Account to
notify its resellers of the MAP. Radian reserves the right to adjust the MAP
at any time and for any or no reason upon notice to Accounts.
This Policy applies to all advertisements of Radian products in any and all
media, whether now known or later developed, including but not be limited
to the following: flyers, posters, mailers, coupons, inserts, banner ads,
newspaper ads, magazines, catalogs, radio, television, podcasts, blogs and
vlogs, streaming video services, public signage, billboard, displays at
industry/consumer shows, websites, web shops, Internet or similar
electronic media, social media, email, or faxes.
This Policy also applies to Radian products offered for sale to consumers
online. Prices shown online will be subject to this policy up to the point that
a financial transaction is completed. In addition, online selling procedures
(i.e. “add to cart”) cannot advertise or imply that doing so will reduce the
price advertised online below MAP.
Account must not offer for sale or sell any new Radian products at auction
(whether online or in person) or through third-party marketplaces, such as
E-Bay®, Amazon®, Gun Broker®, Gunsamerica®, Gunsinternational®, or
any other auction website. Account will not knowingly sell any new Radian
products to any individual intending to offer for sale or sell new Radian
products at auction or through a third-party marketplace.
Any commercial advertisement of Radian products below the MAP is in
violation of this Policy, including without limitation any gift, giveaway,
coupon, discount, or other benefit that, when considered in aggregate, would
bring the value of the Radian product below the MAP. This Policy does not
in any way limit Account’s right to advertise that “they have the lowest prices”
or, they “will meet or beat any competitors’ price,” that consumers should
“call for a price” or phrases of similar meaning, as long as the price
advertised or listed for the Radian product is not less than the MAP.
If Radian determines, in its sole discretion, that an Account has violated this
Policy, then Radian may suspend shipments of all products from Radian to
the Account for a period of 60 days. Upon an Account’s second violation of
this Policy, Radian may suspend shipment of all products from Radian to the
Account for a period of 90 days. Upon an Account’s third violation this Policy,
Radian may cancel all existing orders and discontinue doing business with
that Account. Radian reserves the right to enforce the foregoing
penalties against the distributor or dealer that supplies Radian
products to a repeat offender Account after such distributor or dealer
has been notified of that Account’s initial violation of this Policy.
Radian reserves the right to modify this Policy from time to time upon thirty
(30) days’ notice by posting a notice of such modifications online in your
Radian dealer account. This Policy is nonnegotiable and Radian does not
seek, nor will it accept, an Account’s agreement to comply with this Policy.
Radian employees and sales representatives are instructed not to discuss an
Account’s acceptance of this Policy.
It is the responsibility of all Accounts to promptly notify Radian of any actual
or suspected violation of this Policy of which the Account becomes aware.

no action as Radian deems fit in its sole and absolute discretion. No other
forms of reporting will be evaluated for enforcement.
