Rizoma was born out of a challenge: to bring style and design to an industry in which the product was seen as just a spare part.

Back in 2001 Fabrizio Rigolio was set a challenge by a friend who wanted a unique accessory he could fit to his own bike.

Along with his brother, Fabio, he created a mirror that would immediately acquire legendary status among motorcycle enthusiasts. Riding the crest of the wave, the two brothers gave their creativity free rein, producing ever-more striking products./

Within a few years, after establishing a base in Italy and setting up the first workshops overseas, Fabrizio and Fabio began focusing on what they believed made the difference in this business: design. Hence the founding of Area 13, a Hub dedicated to research, development and innovation.

Today, the Rizoma brand is renowned worldwide. It expresses its own unique viewpoint and reinterprets how materials are used by nurturing unique projects in which Italian manufacturing and design merge and strengthen each other.

Minimum Advertised Price Policy (MAP)

Effective from March 1st, 2022

Introduction

Rizoma has determined that their interests and those of their loyal resellers are best served
through the adoption of a minimum advertised price (MAP) policy. This MAP policy is designed
to support and facilitate our continuous and substantial investment in the development and
introduction of innovative new products and protect our loyal resellers from those that would
seek to take unfair advantage by promoting their sale of Rizoma products primarily on a price
base. Such practices are harmful to our brand’s reputation, and competitiveness and
detrimental to our efforts and those of our loyal resellers to service and support consumers of
our products. This MAP policy has been unilaterally adopted by Rizoma to discourage such
activities.

This MAP policy covers all resellers of Rizoma products located in the United States.

Reseller Defined

A reseller constitutes any merchant that sells to consumers, directly or indirectly. This includes,
but is not limited to jobbers, retailers, online dealers, distributors. A reseller is also considered
to be anyone that uses Rizoma trademarks in connection with the advertisement, offering for
sale, or sale of Rizoma goods, whether such use is with or without Rizoma’s consent. All
resellers are responsible for ensuring their advertising and sales comply with this MAP Policy.
Direct Accounts are defined as having an active account number with Rizoma and purchasing
Rizoma products on a direct basis.

Non-Direct Accounts are defined as accounts that purchase Rizoma products through a
Rizoma Dealer or Distributor that in turn sell directly to end users.

Retail Price

Rizoma has established a manufacturer’s suggested retail price (“MSRP”) for each of its
products. Said price is indicated in Rizoma’s official MSRP price list.

Minimum Advertised Price

Rizoma has established that the minimum advertised price (MAP) for each of its products is
the MSRP. An advertisement that offers or implies a price outside of the manufacturer’s
suggested retail price on any Rizoma product will be a violation of the Advertising policy.
Conversely, resellers who advertise Rizoma products at below-MAP prices will lose privileges
or benefits offered by Rizoma to its loyal resellers.
MAP does not prohibit advertised prices that are higher than Rizoma’s MAP prices.

This MAP policy applies to all advertisements and communications, paid and not paid, of any
Rizoma products in all media including, without limitation:
• Print advertising such as newspapers, magazines, print inserts, outdoor
billboards/signage;
• Broadcast advertising such as radio and TV;
• Direct advertising such as catalogs, mail order catalogs, flyers, newsletters, direct mail

pieces/coupons, and broadcast faxes, whether mailed, hand-delivered, or shipped in-
box with product;

• Electronic mail (e-mail) advertising. Any web pages that link from the e-mail are
considered part of the e-mail advertisement;
• Internet advertising such as banner, pop-up, and pop-under ads;
• Any website accessible to the public (owned and not) including traditional retailers,
club membership sites, e- tailers, vendors, portals, shopping sites, blogs, forums,
auction sites, etc.
• Any Social media channels (owned and not).
Resellers must not include statements or options related to the Brand which may lead
consumers to perceive the offer of prices below MAP.
Website features such as, but not limited to: “click for price”, automated “bounce-back” pricing
emails, special “in-cart” pricing, strike-out pricing, and “See price in Cart”, “Call for prices” are
strictly prohibited.
It shall be a violation of this MAP Policy for a seller to advertise any additional discount,
coupon, gift card, or incentive that provides an immediate price reduction, where the effect
would be to reduce the advertised price of a Product below the Product’s MAP Price.
Each advertisement or communication of any Rizoma product below its MAP will be a violation
of this MAP Policy.
Selling to a reseller that is on Rizoma’s Do Not Sell list constitutes a violation of this MAP
policy.
Selling any or all of the Rizoma product lines to or through any internet reseller who is in non
compliance with this MAP policy constitutes a violation of this policy.’

Current Product Listing. MSRP and MAP

The current listing of Rizoma products, along with their MSRP and MAP, will be circulated to
resellers. The products, MSRP and MAP may be changed from time to time at Rizoma’s sole
discretion.

Policy Violations

Failure to comply with this MAP policy may result in one or more of the following:
• Discounts and other purchasing privileges or benefits may be reduced or revoked.
• Orders may be refused or cancelled for any or all products
• Reseller’s status as an authorized Reseller may be revoked
• Reseller’s name may be included on Rizoma’s Unauthorized Reseller list
• Reseller’s name may be included on Rizoma’s Do Not Sell List.

• Reseller’s authorization to use trademarked/copyrighted images or text, including
marketing material, product descriptions, and Rizoma company informations may be
revoked.

Violations of the MAP Policy shall be determined by Rizoma in its sole discretion.

Policy Modifications

Rizoma reserves the right at any time to modify this MAP policy in whole or in part, to
designate promotional periods during which the terms of this policy change, or to designate
periods of time during which this policy is not applicable.

Exempt Products

Discontinued products are exempted from this policy.
Products that are used, rebuilt, refurbished, or damaged are exempt from this policy as long
as any advertising of such products clearly and prominently states that the product falls in
one of these status.

Limitations on Sales

The Reseller shall only sell the Rizoma products at the Reseller’s retail store, Reseller’s mail
order catalog, Reseller’s Internet website, or at retail booths operated by the Reseller at
events such as races, rallies and shows. Selling or listing Rizoma products on third party
sites (i.e. Amazon, eBay, Walmart, etc.) is strictly prohibited without prior written permission.

Unilateral Action

Rizoma is not seeking agreement from any reseller to adhere to this MAP policy. This MAP
policy does not constitute an agreement or contract between Rizoma and any company nor
any of its resellers.
Each Reseller is free to independently set its resale prices for any product at its own
discretion, but Rizoma’s Policy establishes advertised price standards for the Brand. Rizoma
has adopted this Policy unilaterally for the express purposes set forth above.
