MINIMUM ADVERTISED PRICING POLICY, USA.
Effective: April 1st , 2025

A. TecMate has determined that its interests are best served through the implementation of a minimum advertised
pricing (“MAP”) policy. This MAP policy is designed to protect reseller margins for our premium brand so that
desirable pre-sales and post-sales services and infrastructure and support can be provided by our distribution
partners for all TecMate products. The TecMate MAP policy applies to:

1) OptiMate brand, including all OptiMate battery chargers & OptiMate Accessories including sub brands
OptiMate USB, OptiMate Cable, OptiMate Monitor, OptiMate LED.
2) OptiMate co-branded battery chargers that are identical in every aspect of the standard product line, except
for co-branding by another company.
3) All other products on the TecMate active MAP USA pricelist (a document separate to this policy document).

B. MAP is set at 100% of product manufacturer suggested retail price / MSRP. The MSRP of a product is set by
TecMate in cooperation with its appointed distributors.

1) The TecMate active MAP USA pricelist containing MSRP pricing in United States Dollar (USD), is available to
any authorized reseller upon request, updates can be obtained by contacting orders-usa@tecmate.com

C. Policy Coverage

1) This MAP policy covers all TecMate resellers located within the USA. Although resellers remain free to establish
their own resale prices, TecMate will, without assuming any liability, unilaterally impose sanctions as described in
this policy against resellers who advertise applicable TecMate products at prices below those specified herein.
This is non-negotiable and will not be altered for any reseller.

2) The TecMate MAP policy applies to all products on TecMate active MAP USA pricelist.

a. Exception: Non-active TecMate merchandise or merchandise on close-out and thus removed from the
TecMate active MAP USA pricelist.

b. Excluded: OptiMate WARE products, such as apparel, clothing, T-shirts or other.
c. Excluded: TecMate marketing items.
d. Excluded: TecMate PRO DEALER product or accessories NOT on the list TecMate active MAP USA
product list.

3) The MAP policy applies to

a. pricing published in articles or adverts, within electronic or printed media, including and without
limitation, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order
catalogs, internet or similar electronic media, television, radio and public signage.
b. e-commerce pricing, including special, exclusive and/or limited time offers, promotions, member ‘ONLY’
pricing, including:

i.Bundles or kits containing 2 or more products that appear on the active MAP product list: total
listed price should be the sum of MSRP of all product. This includes bundles or kits created by
the reseller and then assigned a reseller specific part number.
ii. Multiples of the same product that appears on the active MAP product list: total listed price
should be the sum of MSRP of all product.
iii. Combination of an active MAP controlled product and a product not on the list: pricing should
reflect at minimum the MSRP of the MAP controlled product in the list.

4) Products not specifically identified in this policy or that do not appear on the TecMate active MAP USA pricelist,
are not subject to the MAP policy.

D. Third party e-commerce sales – TecMate reserves the right to appoint or authorize resellers for sites that accept
third party reselling, such as Amazon, eBay, Wal-Mart, Best Buy and similar. For information on who the appointed
resellers are or how to become one, please contact orders-usa@tecmate.com. Requirements include:

1) Authorized resellers must source product through official / authorized distribution.
2) Authorized resellers can only sell within USA – no separate or co-listing of product on Canada or Mexico e
commerce sites.
3) Pricing for listed product meets with the requirement of this MAP policy.
4) Listing on Amazon – TecMate is the registered brand owner of OptiMate and TecMate brands and create the
required ASIN and manage the content of all TecMate and OptiMate listings. USA Dealers / appointed
resellers can resell on Amazon USA (Amazon.com) ONLY if:

(i)The product is listed under the existing ASIN in the Amazon catalog of TecMate / OptiMate.

1. If you cannot find the appropriate ASIN or it is a new product: TecMate manages the creation of
all ASINs together with its authorised reselling partner. If an ASIN for a part in our catalog cannot
be found, please contact TecMate via email (orders-usa@tecmate.com) for guidance to find the
correct ASIN.

2. NOTE: Duplicate ASINs for TecMate products are not permitted. Duplicate ASINs will be
removed without notification as outlined by Amazon’s ASIN policy –

(ii) Pricing listed meets with the requirement of this MAP policy. Pricing should exclude shipping cost.
(iii) TecMate / OptiMate products are not offered for sale by the reseller outside of USA i.e. not offered
though Amazon.ca for the Canada & Amazon.com.mx for Mexico.

E. Policy Violations

1) TecMate will inform potential resellers of the intentions of this policy prior to them becoming an authorized
reseller.
2) By distributing this policy to you, TecMate automatically assumes, as of the date of this policy, that you, as a
reseller, will implement every aspect without requiring any further communication or confirmation.
3) However, if an authorized reseller deliberately violates the TecMate MAP policy, sanctions will be imposed with
the ultimate penalty resulting in the suspension/termination of supply.

a. Application of sanctions to third parties, such as the customer or dealer of the reseller, may be adjusted
and applied by agreement between TecMate and the authorized distributor / reseller.
b. In the case of unauthorized resellers listing on any e-commerce platforms.

i. Product warranty will not be honored.
ii. Source / distributor will be notified and asked to block sales of TecMate / OptiMate product to
the unauthorized reseller.
iii. Listings may be removed / or resellers blacklisted, with the assistance of the e-commerce site
administrators and their brand policies.

TecMate reserves the right to at any time to modify, suspend, or discontinue the MAP policy in whole or in part or
designate promotional periods during which the terms of the policy change or designate periods of time during which the
policy is not applicable.

This is the sole and only policy in effect. No changes or modifications can be made by any sales personnel and all
questions & comments regarding this policy should be addressed to orders-usa@tecmate.com
The policy administrator shall be solely responsible for determining whether a violation of the policy has occurred
and will communicate directly with resellers in this regard.
