Subject: Retail Advertising and Minimum Advertised Pricing Policy

Introduction

TMI Automotive Products (“ TMI”) has determined that their interests and those of their
loyal resellers are best served through the adoption of a Minimum Advertised Pricing
Policy (“MAP Policy”). This MAP policy is designed to support and facilitate our
continuous and substantial investment in the development of the Brand, introduction of
innovative new products and to protect our loyal resellers from those that would seek an
unfair advantage by promoting the sale of TMI Automotive Products primarily on the
basis of price. Such practices are harmful to our brand’s reputation and detrimental to
the efforts of our loyal resellers to service and support consumers of our products. This
MAP Policy is adopted for the benefit of all Resellers and will be uniformly enforced.

This MAP policy has been unilaterally adopted by TMI Automotive Products and applies to
distributors and retailers, including catalogs and Internet retailers (collectively,
“Resellers”), who resell TMI Automotive Products to end users located in the United
States. TMI Automotive Products greatly values the efforts of all Resellers to distribute
TMI Automotive Products and support our customers.

Retail Price

TMI Automotive Products has established a manufactured suggested retail price (“MSRP”)
for each of its products. Each Dealer is free to independently set its own retail prices for
any product at its own discretion, but the TMI Automotive Products pricing policy
establishes advertised price standards for the Brand. TMI Automotive Products has
adopted this policy for the express purposes set forth above. Failure to abide by this
policy may result in penalties, including termination as a dealer.

Minimum Advertised Price

TMI Automotive Products has established a minimum advertised price (“MAP”) for each
of its products. An advertisement that offers or implies a price outside of the allowed
20% off the suggested retail price on any TMI Automotive Products item will be a
violation of the Advertising policy. Resellers who advertise TMI Automotive Prod ucts
items at below-MAP prices will lose privileges or benefits offered by TMI Automotive
Products to its loyal resellers. Whereas MAP pricing applies only to advertised retail
prices, it does not apply to the retail price at which TMI Automotive products are actually
sold, nor does it prohibit advertised prices that are higher than TMI Automotive Products
MAP pricing. This MAP policy applies to all advertisements of any TMI Automotive

Products item in all media including, without limitation, online catalogs, any published or
mail order catalogs, television, radio, public signage, magazines, newspapers, flyers,
posters, coupons, direct mailers or inserts, whether mailed, hand -delivered or shipped in-box with
product, and all internet or similar electronic media, including websites, email newsletters, forums,
and auction sites. Resellers must not include statements or options
related to the Brand which may lead consumers to perceive the offer of prices below
MAP. Website features such as, but not limited to: “call”, “call for price”, “click for price”,
automated “bounce-back” pricing emails, special “in-cart” pricing, strike-out pricing, and
“See price in Cart”, “best offer”, or similar statements should not be used and are strictly
prohibited. It shall be a violation of this MAP policy for a seller to advertise any
additional discount, coupon, gift card, or incentive that provides an immediate price
reduction, where the effect would be to reduce the advertised price of a product below
the product’s MAP price.

Each advertisement of any TMI Automotive product below its MAP will be a violation of
this MAP policy. Selling to a reseller that is on the TMI Automotive Products “Do Not Sell”
list constitutes a violation of this MAP policy. Selling any or all of the T MI Automotive
product lines to or through any internet reseller who is in noncompliance with this MAP
policy constitutes a violation of this policy.

Dealers are granted a limited, revocable, non-exclusive, and non-transferable license to
use the Marks in connection with any print or internet advertising associated with the
Brand as long as they adhere to TMI Automotive Products policies, including this Retail
Advertising Policy.

POLICY Violations:

Failure to comply with this MAP policy may result in one or more of the following:

▪ Discounts and other purchasing privileges or benefits may be reduced or revoked.

▪ Orders may be refused or cancelled for any or all products.

▪ Reseller’s status as an Authorized Reseller may be revoked.

▪ Reseller’s name may be included on TMI Automotive Products Unauthorized Reseller
list.

▪ Reseller’s name may be included on TMI Automotive Products Do Not Sell list.

▪ Reseller’s authorization to use trademarked/copyrighted images or text, including
marketing material, product descriptions, and TMI Automotive Products company
information may be revoked.

Violations of the MAP Policy shall be determined by TMI Automotive Products in its sole
discretion. Failure to abide by this policy may result in penalties, including those
specifically set forth below, as well as being terminated as an authorized TMI Automotive
Products dealer.

First violation: Dealer will receive a written notification informing the Dealer that it will
be subject to a two (2) day prohibition from purchasing TMI Automotive Products.
Corrective action must be implemented within 48 hours for electronic advertisements
(email/internet sites) and the relevant production cycle for print and other
advertisements, but no later than thirty days. If corrective action is not implemented
within the aforementioned timeframe, the two-day prohibition will be extended and
Dealer’s rights to use TMI Automotive Products trademarks and copyrighted material will
be forfeited and not permitted until reinstated at the sole discretion of TMI Automotive
Products and/or its authorized agent on its behalf.

Second violation: Dealer will receive a written notification informing the Dealer that if
will be subject to a thirty (30) day prohibition from purchasing TMI Automotive Products,
and the dealer ’s rights to us TMI Automotive Products trademarks and copyrighted
material will be forfeited and not permitted during this period. If corrective action is not
implemented within the timeframe delineated above, the thirty (30) day prohibition can
be extended and Dealer’s rights to use TMI Automotive Products trademarks and
copyrighted material will be forfeited and not permitted until reinstated at the sole
discretion of TMI Automotive Products and/or its authorized agent on its behalf.
Violations after 180 days from the first violation will be considered a new first violation.

Third violation: Dealer will receive a written notification informing the Dealer that if will
be subject to a ninety (90) day prohibition from purchasing TMI Automotive Products, and
the dealer ’s rights to us TMI Automotive Products trademarks and copyrighted material
will be forfeited and not permitted during this period. If corrective action is not
implemented within the timeframe delineated above, the ninety (90) day prohibition can
be extended and Dealer’s rights to use TMI Automotive Products trademarks and
copyrighted material will be forfeited and not permitted until reinstated at the sole
discretion of TMI Automotive Products and/or its authorized agent on its behalf.
Violations after 180 days from the first violation will be considered a new first violation.

Fourth violation: Dealer will receive a written notification informing the Dealer that if
will be subject to a minimum one (1) year prohibition from purchasing TMI Automotive
Products, and the dealer’s rights to us TMI Automotive Products trademarks and
copyrighted material will be forfeited and not permitted during this period. If corrective
action is not implemented within the timeframe delineated above, the one (1) year
prohibition can be extended and Dealer ’s rights to use TMI Automotive Products
trademarks and copyrighted material will be forfeited and not permitted until reinstated at
the sole discretion of TMI Automotive Products and/or its authorized agent on its behalf.
Violations after 180 days from the first violation will be considered a new first violation.

Notwithstanding the above, based on the sole discretion of TMI Automotive Products
and/or its authorized agent, a Dealer who demonstrates multiple first violations of this
policy may be subject to a permanent prohibition from purchasing TMI Automotive
Products and the Dealer’s rights to use TMI Automotive Products trademarks and
copyrighted material will be forfeited and not permitted.

Policy Modifications:

TMI Automotive Products reserves the right at any time to modify this MAP policy in
whole or in part, to designate promotional periods during which the terms of this policy
change, or to designate periods of time during which this policy is not applicable.

Exempt products:

Discontinued products and promotional items, such as decals, apparel, posters, and
banners, are exempt from this policy. Impaired products (i.e. products that are used,
rebuilt, refurbished, or damaged) are exempt from this policy so long as any advertising
of such products clearly and prominently states the nature of the impairment.

Unilateral Action:

TMI Automotive Products is not seeking agreement from any rese ller to adhere to this
MAP policy. This MAP policy does not constitute an agreement or contract between TMI
Automotive Products and any company nor any of its resellers. Contact
