VESSEL is committed to offering the highest quality product that end-users demand. In an effort to retain brand value and a healthy distribution
channel, VESSEL is unilaterally implementing a Minimum Advertising Pricing (MAP) policy (“Policy”). This Policy will become effective January 1,
2025 and applies to all distributors and retailers; including but not limited to catalogs, Internet retailers, auction sellers, auction sites, and
ecommerce platforms (collectively, “Resellers”) who sell VESSEL and/or SPAIR product to end-users. A Reseller is also considered to be anyone that
uses VESSEL and SPAIR trademarks and intellectual property in connection with the advertisement, offering for sale, or sale of VESSEL / SPAIR
goods, whether such use is with or without VESSEL’s consent. VESSEL values the efforts and contributions of all Resellers to distribute VESSEL
and/or SPAIR products and support our mutual customers. This Policy is unilaterally adopted by VESSEL for the benefit of all Resellers and will be
uniformly enforced.
Dealers shall not publish a retail advertised price through Covered Advertising (defined below) that is less than the manufacturer’s suggested retail
price (“MSRP”). “Covered Advertising” is defined as:
1. Broadcast advertising such as radio and TV;
2. Internet advertising such as banner, pop-up, and pop-under ads;
3. And any website accessible to the public including traditional retailers, club membership sites, e- tailers, vendors, portals, shopping
sites, blogs, forums, auction sites, social media sites, etc.
The types of advertising not covered by this Policy are:
1. In-store merchandising;
2. Print advertising such as newspapers, magazines, print inserts, outdoor billboards/signage;
3. Direct advertising such as catalogs, flyers, newsletters, direct mail pieces/coupons, and broadcast faxes, whether mailed, handdelivered, or shipped in-box with product;
4. Electronic mail (e-mail) advertising. Any web pages that link from the e-mail are not considered part of the e-mail advertisement.
A visible strike out, deletion or alteration of any price in any Internet, print, radio and/or T.V. advertising is strictly prohibited. Dealers must not
include statements or options related to the brand which may lead consumers to perceive the offer of prices below MSRP. Statements such as
“call”, “call for price”, “email to get the lowest price”, “best offer”, “place in shopping cart to see our lowest price”, “at least x% off”, or other
similar statements are not permitted. The VESSEL / SPAIR item displayed must have that item’s MAP (or higher) price displayed. Statements such
as, “Price Starting At:“, are allowed as long as the starting price is at or above MAP.
All wheel and tire packages (i.e., those that include a combination sale of both products covered in the MSRP price file and products not covered
under this Policy) must be advertised at the cumulative MSRP of all the products included in the package.
This MAP Policy applies only to advertised prices and does not apply to the price at which VESSEL products are actually sold or offered for sale to an
individual consumer within Reseller’s retail location or over the telephone. Resellers remain free to sell these products at any prices they choose
under these circumstances.
Pricing listed on an Internet site is considered an “advertised price” and must adhere to this MAP Policy. Once the pricing is associated with the
intent to purchase (added to a secure, not public shopping cart or order), the price becomes the selling price and is not bound by this MAP Policy.
Discounts applied at the checkout to the entire order based on a customer’s purchasing history with the Reseller, such as discounts for “frequent
shoppers”, do not violate this MAP Policy.
From time to time, VESSEL may choose to offer special promotions on certain products. In such an event, we reserve the right to modify or suspend
this MAP Policy in whole or in part by notifying all Resellers of the duration and nature of the change. VESSEL further reserves the right to adjust
the MSRP with respect to all or certain products at its sole discretion. Such changes shall apply equally to all Resellers.
