Policy Regarding Minimum Advertised Pricing (MAP)

Effective September 11, 2023 Transfer Flow has established a minimum advertised price (MAP) on all products. This Policy applies to U.S. and Canadian dealers and distributors.

Resellers of Transfer Flow, Inc. products have the right to make independent decisions to sell Transfer Flow products at any price without consulting or advising Transfer Flow. This MAP Policy does not determine, control, or influence the price at which any reseller sells its products. Transfer Flow has the right to make its own unilateral decisions regarding the composition of its reseller network. In its sole discretion, Transfer Flow reserves the right to discontinue business with or take any other appropriate action concerning any reseller that fails to adhere to this MAP Policy.

The Map policy shall work under the following guidelines:

1. The MAP for select Transfer Flow products shall be listed on each price sheet for dealers and distributors. Transfer Flow establishes MAP pricing for select Transfer Flow products and may be adjusted by Transfer Flow at its sole discretion.

2. The MAP policy applies to all advertisements of Transfer Flow products in any and all media, including and without limitation, flyers, posters, coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, internet or similar electronic media, television, radio, and public signage. The MAP policy does not apply to in-store advertising not distributed to customers.

3. MAP applies only to advertised prices and does not apply to the price at which products are sold or offered for sale to an individual customer within the dealers’ retail location or over the telephone. Transfer Flow dealers and distributors can sell these products at any price.

4. MAP does not establish maximum advertised prices. All dealers and distributors may offer Transfer Flow products at any price above the
   MAP was established for such products.

5. It is a violation of this MAP Policy to include in any advertising any additional discount, rebate, coupon, gift card, or other incentives that would result in an immediate price reduction where the cumulative effect of the price reduction is an Advertised Net Price that is less than the MAP. Advertised Net Price is defined as the reseller’s offered price less the value of any advertised discounts, rebates, coupons, gift cards, or other incentives. It is also a violation of this MAP Policy to indicate that an Advertised Net Price lower than the MAP is available in advertisements. It violates this MAP Policy to imply a price lower than the available MAP.

6. A visible strike out, deletion, or alteration of any price in Internet advertising is strictly prohibited. Sellers must refrain from including statements or options related to TFI, which may lead consumers to perceive the offer of prices below MAP. Statements such as “call,” “call for price,” “email to get the lowest price,” “guaranteed lowest prices,” “best offer,” “place in the shopping cart to see our lowest price,” “at least x% off,” or other similar statements should not be used. The Brand must be expressly excluded from any advertised store-wide sale or promotion.

7. From time to time, Transfer Flow may discontinue models or engage in promotions with respect to certain products. In such events, Transfer Flow reserves the right to modify or suspend the MAP for the affected products by notifying dealers of such change. Transfer Flow further reserves the right to adjust the MAP for all or certain products at its sole discretion.

8. The terms of this MAP policy are proprietary and should not be disclosed to other parties. The MAP policy also ensures dealers and distributors are incentivized to invest resources into services for Transfer Flow customers.

9. Transfer Flow shall determine violations of this Policy at its sole discretion. Transfer Flow’s designated Policy Administrator is the only person authorized to communicate policy updates, changes, or decisions. No other Transfer Flow representative or agent is authorized to confirm compliance with, discuss, or amend this Policy. Transfer Flow will not accept any communication from a Dealer who has violated this Policy regarding the violation or the willingness of the Dealer to bring its advertising into compliance with the Policy. Transfer Flow also does not entertain complaints from its dealers regarding another dealer’s advertising or pricing practices. 10. Intentional or repeated failure to abide by this MAP Policy will result in sanctions unilaterally imposed by Transfer Flow. Transfer Flow will determine the level of sanctions in its sole discretion and may include indefinite termination of dealership or distributorship. Transfer Flow does not intend to do business with resellers who degrade the image of Transfer Flow and its products. Transfer Flow need not provide prior notice or issue warnings before taking action under this MAP Policy. Transfer Flow does not intend to do business with dealers or distributors who degrade the image of Transfer Flow and its products.

Failure to Comply with the MAP Policy

At the sole discretion of Transfer Flow, failure to comply with MAP, intentional and/or repeated, may result in the immediate loss of reseller status and your ability to purchase all Transfer Flow products both directly and through distribution.
